1. Agreement to Our Terms

We are ITS GROUP LIMITED ("Company", "we", "us", or "our"), a company registered in New Zealand, providing SEO, digital marketing, analytics, and online business optimisation services.

By accessing or using our website [itsgroup.co.nz] (the "Site") and any related services (the "Services"), you agree to be bound by these Terms & Conditions. If you do not agree with these terms, you are prohibited from using our Services.

We reserve the right to update these terms at any time. The latest version will always be available on our website.

2. Our Services

ITS Group provides digital services, including but not limited to:

• SEO audits and technical optimisation
• Google Business Profile setup and management
• Google Merchant Center product listings
• Website analytics and performance tracking
• Digital consultancy and strategy

Our services are designed to improve your online presence, but we do not guarantee specific ranking positions, traffic volume, or sales performance. Search engines and advertising platforms operate independently and may update algorithms without notice.

3. Pricing & Payment

• All pricing is listed exclusive of GST (unless stated otherwise).
• Payments must be made in advance unless agreed otherwise.
• We accept bank transfer, credit/debit cards, and PayPal.
• Subscription or ongoing services are billed monthly and require 14 days' notice for cancellation.

Failure to make timely payments may result in suspension of services.

4. Refunds & Cancellations

As digital services involve time and expertise, we do not offer refunds once work has commenced.
Exceptions may be made in the following cases:

• If a service has not yet started, we may provide a full refund.
• If we are unable to complete the service due to unforeseen circumstances, a partial refund may be considered.

For ongoing services (e.g., SEO retainers), 14 days' written notice is required to cancel. Any work completed up to the cancellation date will be charged accordingly.

5. Client Responsibilities

To provide the best service, you agree to:

• Supply accurate business information.
• Provide access to relevant platforms (e.g., Google Analytics, Search Console, website CMS).
• Respond to requests for approvals or information within reasonable timeframes.

ITS Group is not responsible for delays caused by a lack of client cooperation.

6. Intellectual Property

• Any content, reports, or recommendations provided by ITS Group remain our intellectual property until full payment is received.
• Clients are granted a non-exclusive, non-transferable license to use materials we produce.
• Clients must not resell, distribute, or modify our work without permission.

7. Limitation of Liability

ITS Group will provide services with reasonable care and skill, but we are not liable for:

• Search engine ranking changes beyond our control.
• Website downtime or third-party service disruptions.
• Loss of revenue or profits due to SEO, marketing, or analytics strategies.

Our maximum liability is limited to the amount paid for services in the last three (3) months.

8. Confidentiality & Data Protection

• We handle all client data confidentially and will not share it with third parties without consent.
• We comply with the New Zealand Privacy Act 2020.

9. Governing Law

These Terms & Conditions are governed by the laws of New Zealand. Any disputes will be resolved under the jurisdiction of New Zealand courts.
